Bylaws
Article I Name, Affiliation, and Purpose
Section 1. Name. The official name of this organization shall be the Ohio Association for Multicultural Counseling and Development (hereinafter referred to as OAMCD).
Section 2. Use of Name. The official name of the Association, as specified in Article I, Section 1, shall be employed in connection with all official business and communications pertaining to OAMCD.
Section 3. Affiliation. OAMCD shall be a division of Ohio Counseling Association (hereinafter referred to as OCA0. It shall be organized and operated in compliance with the bylaws of OCA applicable to divisions.
Section 4. Purpose. The purposes of the Association shall be as follows:
a. To promote a greater understanding of ethnic groups among members of the counseling and development professions.
b. To improve standards and delivery of counseling and development services provided to ethnic groups.
c. To identify and work to eliminate conditions which create barriers to the individual development of ethnic groups.
d. To develop, implement, and/or foster interest in scientific, educational, and charitable programs designed to further the interest of ethnic groups.
e. To secure quality of treatment, advancement, and status of ethnic groups in counseling and development work.
f. To facilitate a broader awareness of multicultural counseling among the helping professions.
g. To develop and improve counselor education and training in multicultural and cross cultural counseling. Article II Membership Section 1. Membership. Membership in OAMCD shall be open to any person whose primary responsibilities or interests are in the area of multicultural counseling and human development. Membership is also open to other helping professionals with an interest in multicultural issues. Only those who work or live in the state of Ohio are eligible for regular membership. The membership year shall run from July 1 to June 30. Section 2. Types. The following types of membership are available in OAMCD. This Association shall include five types of membership – regular, student, honorary, life, and corporate. a. Regular 1. Any person whose primary work-related responsibilities are/were the area of counseling and human development. 2. Any person with interest in and a desire to uphold the purposes and principles of OAMCD. b. Student 1. Any person engaged in full or part-time study in an accredited undergraduate or graduate school in a course of study in counseling or development related specialties may be admitted upon application and endorsement by his/her faculty advisor. c. Honorary 1. Any person who has made an outstanding contribution in the area of multicultural counseling and development work may be awarded an honorary membership at the discretion of the OAMCD Executive Board. Honorary membership carries exemption from the payment of all dues. Honorary members shall not be eligible for elected office and shall not have voting privileges. d. Life 1. Any regular person who meets the requirements for regular membership may apply for life membership which entitles the individual to the responsibilities and privileges of regular membership for life. Life membership requires payment of a special rate determined by the Executive Board. e. Corporate 1. Any corporation interested in supporting the goals and objectives of OAMCD may be admitted to Corporate Membership. Corporate members will not have voting privileges and will not be eligible to hold office. Corporate members pay dues. Each corporation can have only one individual representing that Corporation during each fiscal year. Corporation dues are determined by the Executive Board. Section 3. Application for Membership. Any person desireing to become a member of the Association shall make application to the OAMCD Membership Chairperson specifying PAMCD as the division of his/her choice. A person shall become a member of OAMCD upon his/her election to membership and the payment of his/her dues. Section 4. Continuity of Membership. Membership in OOAMCD shall be continuous on an annual basis. Section 5. Rights and Privileges. Regular, student, and life members in good standing shall be eligible to vote. Regular and life members may hold office in the Association. All other members shall have such rights and privileges accorded them by the Executive Board. Section 6. Termination of Membership. Amember may be dropped from membership for any conduct that tends to injure the Association or to adversely affect its reputation, or that violates principles stated in OCA’s Code of Ethics or OAMCD Bylaws. Any member charged with engaging in such conduct shall be given notice of the precise nature of the charges against him/her, given the opportunity to present evidence in his/her behalf through witnesses or otherwise, shall be given the opportunity to confront witnesses against him/her, and shall have the right to appeal through a hearing before the Executive Board whose decision shall be final. A Committee on Ethics, appointed by the Executive Board, shall consider any charge made over the signature of two OAMCD members in good standing and shall have the power to determine whether the charges shall be dropped, whether the accused shall be permitted to resign, or whether the charges are true, subject however to the right of any accused member to appeal to the Executive Board from any final decision of the Committee on Ethics. A member may be dropped from membership for nonpayment of dues. Section 7. Dues. a. The Executive Board shall establish the annual OAMCD membership dues. Article III OAMCD Executive Board Section 1. Function. The OAMCD Executive Board shall be the agency through which the general administration and executive functions of OAMCD shall be conducted. The OAMCD president shall represent OAMCD Executive Board and general membership as liaison to OCA. The Executive Board shall assure compliance with the procedures for divisions in the manual entitled: Ohio Counseling Association State Executive Council Operating Procedures (SECOP). The President of OAMCD shall be the chairperson of the Executive Board. Roberts Rules of Order, as interpreted by the Parlimentarian, shall prevail in all matters of OAMCD business except where inconsistent with the OAMCD bylaws. The parliamentarian is an officer who shall be appointed by the President. Section 2. Meetings a. The Executive Board shall meet at the time and place as may be designated by either the President or a majority of voting members of the Board. The Executive Board shall have a minimum of four meetings per year. b. A majority of the members of the Executive Board shall constitute a quorum. In the intervals between meetings of the Association, the Board shall take such action as is necessary for conducting OAMCD’s affairs, except that no action shall be taken by which is contrary to an action taken by the Association (OAMCD). c. The President may submit issues by mail ballot to members of the Executive Board, in lieu of calling a special meeting concerning emergency issues that arise between board meetings. d. The general membership shall meet at least once per year. The annual meeting time shall be determined by the Executive Board. Article IV Officers Section 1. Officers. a. The officers of OAMCD shall be the President, President-Elect, Secretary, Treasurer, and Parliamentarian. Section 2. All officers shall be elected at large from among the members holding regular membership in OAMCD, with the exception of the Parliamentarian who shall be appointed by the President. Section 3. The President-Elect, elected annually, shall hold office for one year, and shall succeed to the Presidency for a one year term. Section 4. The Secretary shall be elected by the membership for a two (2) year term during the odd numbered years. Section 5. The Treasurer shall be elected by the membership for a two (2) year term during the even numbered years. Section 6. In the event of a vacancy in the office of President, the President-Elect shall complete the term of President as well as his/her own term. In the event the President-Elect can not complete the term, the Executive Board appoints a successor. Section 7. In the event of the resignation, death, or incapacitation of any other officer other than President, the Executive Board shall appoint a member to fill the remainder of the term of office within 30 days. Section 8. The President shall be ineligible to serve again as President-Elect or President for a period of three years following previous service in either office. Article V Duties of Officers Section 1. It shall be the duty of the President to preside at meetings, to call special meetings, and to appoint all committee chairpersons no otherwise provided for in the bylaws. The President shall be a non-voting, ex-official member of all committees. Section 2. In the absence of the President, the President-Elect shall perform the duties of the President. The President-Elect, with the Finance Committee, shall develop and present a proposed budget for his/her term of office for Executive Board approval at the last Executive Board meeting preceding his/her term of office. The President-Elect shall present a list of proposed committees and chairpersons for Executive Board approval at the last meeting, preceding his/her term of office. The President-Elect shall carry out such other duties and responsibilities as may be assigned by the Board. Section 3. The Secretary shall record all official procedures of OAMCD and the Executive Board. Copies of the official proceedings of OAMCD and the Executive Board shall be mailed within 21 days following each meeting. The Secretary shall perform such duties as may be delegated by the Executive Board. Section 4. The Treasurer shall receive, deposit, and disburse all money belonging to OAMCD; keep an account of all receipts and expenditures; and present in writing a financial report at each Executive Board meeting that includes a budgetary analysis and an itemized accounting of every expenditure during the period since the preceding Executive Board meeting. The President and Treasurer must both sign all checks on OAMCD accounts. The Treasurer shall present in writing a summary financial report at the end of each fiscal year/membership year. On the first day of the new fiscal year/membership year, the Treasurer shall turn over all records to the Finance Committee Chairperson. It shall be the responsibility of the Finance Committee Chairperson and his/her committee to see that the books are audited and then turned over to the Treasurer no later than 30 days after the beginning of the fiscal year/membership year. The Treasurer shall be under such fidelity bond as determined by the Executive Board. The Treasurer shall assist in the preparation of the budgets for OAMCD and its committees. The Treasurer shall perform the duties customary to the office and such additional duties as directed by the Executive Board. The Treasurer shall recommend to the Executive Board any needed modifications in procedures for managing the fiscal affairs of OAMCD. Section 5. None of the officers or members of the Executive Board shall receive any compensation for their services on behalf of OAMCD. The Executive Board may authorize payment of expenses only for travel, food, and lodging incurred by any member while performing services for OAMCD. Article VI Nominations and Elections Section 1. The Past-President shall serve as the Chairperson of the Nomination Committee and shall serve as an advisor to the President. Section 2. The election procedures shall be published with the ballot. The ballot will be sent to all members. Section 3. Nomination Committee. There shall be established a Nomination Committee consisting of the Immediate Past-President of OAMCD as Chairperson, one other officer appointed by the President, and one member at large, but subject to the confirmation by the Executive Board. Whenever possible more than one nominee will be sought for each office. The Nomination Committee shall submit the proposed procedures for carrying out the annual election to the Executive Board for its approval. Section 4. If a member of the Nomination Committee becomes a candidate, that member shall forthwith resign from the committee and be replaced by a new member appointed by the President. Article VII Board and Committee Section 1. Executive Board. This Board shall consist of the President, the President-Elect, the Treasurer, Secretary, the Immediate Past-President, and all standing committee chairs. Section 2. Standing Committees. The standing committees of OAMCD and their duties: a. The Membership Committee shall receive membership applications, maintain an official membership list, and recruit new OAMCD members. All membership dues are to be forwarded to the treasurer immediately upon receipt. b. The Finance Committee, composed of the chairperson, the President-Elect, and the Treasurer, shall prepare the annual budget of OAMCD and recommend fiscal policies for consideration by the Board. c. The Newsletter Committee, composed of the Newsletter Editor and members representing the five regions of the state, shall be responsible for developing three issues of the “Newsletter” each fiscal year. d. The Professional Development Committee composed of a chairperson and one or more members shall be responsible for developing and implementing programs and activities relating to the concerns of OAMCD. The principle program will be the annual symposium. e. The Government Relations committee, composed of the chairperson and one or more members shall be responsible for monitoring the political issues pertinent to OAMCD and conducting such growth activities deemed necessary by the chairperson or the Executive Board. f. Strategic and Long-term Planning Committee composed of the chairperson and at least one other member shall engage in strategic and visionary planning for OAMCD and initiate activities to follow through on activities approved by the Executive Board. g. Public Relations Committee consists minimally of the chairperson and another member, shall promote OAMCD and its activities through use of media resources. h. Education and Training Committee, consists of the chairperson and two other members, shall develop and implement education and training programs for members and the public. i. Graduate Student Committee, composed of the chairperson and one or more other members, plans and conducts activities to support graduate students’ education and career efforts, and to encourage graduate student involvement in OAMCD. j. Awards Committee, composed of a chairperson and one or more members, selects and prepares award nomination materials for state and national recognitions. k. Archives Committee, composed of a chairperson and may include one or more other members, organizes, collects, and keeps secure records, documents, and memorabilia belonging to OAMCD. Section 3. Special Committees. These committees shall be established by the Executive Board to meet the objectives of OAMCD. The Board shall, from time to time, review the charges and functions of all special committees and shall make such changes in the numbers, characteristics, or organization as may seem necessary. During the time a special committee is actively in a task, the chairperson will serve on the Executive Board. Section 4. Appointment of Committees a. The President shall appoint chairpersons and members of all committees except as otherwise specified in these bylaws. Chairpersons of standing committees shall be subject to confirmation by the Executive Board. b. Except as otherwise specified in these bylaws, chairpersons and members of committees shall serve for one year or until the appointment of their successors. The may be reappointed. Article VIII Amendments to Bylaws Section 1. The President ant eh Executive Board shall appoint a Bylaws Committee when deemed necessary to review for possible revisions. Section 2. Members may bring suggested amendments to the Executive Board. Section 3. Amendments to the bylaws will be voted on by the Executive Board. The Secretary shall mail a copy of the amended bylaws to each “Regular,” “Student,” “Honorary,” and Life member of OAMCD. Article IX Fiscal Year The fiscal year of OAMCD is the same as the membership year and shall run July 1 through June 30.
